Corporate and commercial law governs how businesses are formed, owned, financed and run, and how they deal with one another.
The work begins at incorporation: choosing the right vehicle, registering it with the Patents and Companies Registration Agency, and putting in place the constitutional documents and shareholder arrangements that will govern it. It continues throughout the life of the company as statutory filings fall due, directors change, shares move, and the Companies Act imposes its continuing obligations on the board.
Transactional work sits alongside that: mergers and acquisitions, share and asset transfers, joint ventures, and the debt or equity financing that funds them. Each turns on careful due diligence, a well-drafted agreement, and an understanding of the regulatory consents a transaction may need, among them competition clearance from the Competition and Consumer Protection Commission where the thresholds are met.
Most commercial relationships are ultimately defined by contract. Sound drafting at the outset, whether of supply, distribution, services, licensing or shareholders’ agreements, is the most reliable protection a business has against later dispute.
